Because you own two single-member LLCs, your biggest legal risk is "piercing the corporate veil." If you mix the assets or operations of these companies, a court can rule they are the same entity, exposing your personal assets (and the assets of the other company) to lawsuits.
Rule #1: The Financial Firewalls
- ✗No Co-mingling: Never use the MXM Turbinetec bank account to pay for a lawnmower part. Never use the DVDs Cleaning account to buy software for MXM Turbinetec.
- ✗No Personal Expenses: Never pay for personal groceries or your personal cell phone bill directly out of either business account.
How to Pay Yourself (Owner's Draw):
- Transfer money from the specific business checking account to your personal checking account.
- Label the transfer in your online banking app as "Owner's Draw."
- Spend the money from your personal account.
Rule #2: Separate Accounting Environments
Maintain two separate company profiles inside your accounting software (e.g., QuickBooks Online). Do not combine them into one file. They must have separate Balance Sheets and Profit & Loss (P&L) statements.

1. DESCRIPTION OF SERVICES. Contractor shall perform specialized commercial cleaning, janitorial services, lawn care, and/or industrial onsite maintenance as specified in individual Statements of Work (SOW) attached to this Agreement.
2. STANDARD OF CARE & REGULATORY COMPLIANCE.
(a) Healthcare Facilities: Contractor agrees to maintain compliance with OSHA Bloodborne Pathogen Standards (29 CFR 1910.1030) and CDC sanitization guidelines, using only EPA List N registered disinfectants.
(b) Industrial Sites: Contractor's staff shall remain fully compliant with Lockout/Tagout (LOTO) protocols and Hazard Communication standard rules on site.
3. TERM AND TERMINATION. This Agreement shall run for one (1) year from the effective date and shall auto-renew unless either party gives thirty (30) days written notice of intent to terminate.
4. PAYMENT TERMS. Client shall pay Contractor according to the rates defined in the SOW. Invoices shall be generated monthly. All payments are Net 30 days. Late balances shall accrue an interest charge of 1.5% per month.
5. INDEPENDENT CONTRACTOR STATUS. Contractor is an independent contractor. Neither Contractor nor its employees are employees of the Client. Contractor retains full responsibility for employer payroll tax matching, workers' compensation, and benefit management.
6. INSURANCE. Contractor shall maintain during the term of this agreement:
(a) Commercial General Liability: $2,000,000 per occurrence / $4,000,000 aggregate.
(b) Commercial Umbrella Liability: $5,000,000.
(c) Workers' Compensation: Statutory state limits. Upon request, Client shall be named as an Additional Insured via a Certificate of Insurance (COI).
7. LIMITATION OF LIABILITY. Contractor shall not be held liable for any indirect, special, or consequential damages. Contractor's maximum total liability for any structural property claims under this agreement shall be limited to the maximum coverage limits provided by Contractor's insurance policies.

5. INTELLECTUAL PROPERTY REASSIGNMENT. Any technical codes, custom configurations, software algorithms, or specialized systems developed by the Recipient during working billable hours for MXM Turbinetec LLC shall be legally classified as "Work for Hire" and remain the exclusive property of the Company and its respective clients.
6. REMEDIES AND JURISDICTION. Any breach of this agreement grants the Company the right to seek injunctive relief to prevent immediate financial damage, in addition to pursuing any statutory monetary damages. This agreement shall be governed under the laws of the State of Mississippi.
